Terms and Conditions of Purchase

 

General Provisions

1.1. These terms and conditions of purchase and sale (hereinafter referred to as the "Terms") are a legally binding document for the Parties, setting forth the rights, obligations, and responsibilities of the Buyer when purchasing goods from the online store.

1.2. The Seller reserves the right to change, amend, or supplement the rules at any time, taking into account the requirements established by legislation. The Buyer is informed on the website of the online store. The Terms applicable at the time of placing the order apply to the Buyer when shopping in the online store.

1.3. The following are entitled to purchase in the online store:

1.3.1. capable natural persons, i.e., persons who have reached the age of majority, whose legal capacity is not limited by court order;

1.3.2. minors aged 14 to 18, only with the consent of parents or guardians, except when they independently dispose of their income;

1.3.3. legal persons;

1.3.4. representatives authorized by all of the above persons.

1.4. By confirming the rules, the Seller also guarantees that, according to clause 1.3., the Buyer has the right to purchase goods in the online store.

1.5. The contract between the Buyer and the Seller is considered concluded from the moment the Buyer, in the online store, fills the shopping cart, specifies the delivery address, chooses the payment method, and acquaints themselves with the Seller's rules, then clicks the "Confirm Order" button (see section 5 "Ordering Goods, Prices, Payment Procedure, Terms").

1.6. Each contract concluded between the Buyer and the Seller is stored in the online store.

 

Protection of Personal Data

2.1. To purchase goods in the Topcarmats online store, the Buyer can:

2.1.1. by registering in this online store – by entering the required data during registration;

2.1.2. without registering in this online store.

2.2. When ordering goods according to the methods provided for in clause 2.1., the Buyer must specify the personal data necessary for the proper execution of the order in the relevant fields of information provided by the Seller: name, surname, delivery address of the goods, telephone number, and email address.

2.3. By confirming these rules, the Buyer agrees that the personal data of the Buyer provided in clause 2.2. will be processed for the sale of goods and services in the online store, for the Seller's business analysis, and direct marketing purposes.

2.4. By agreeing that the Buyer's personal data would be processed for the purpose of selling goods and services in the Seller's online store, the Buyer also agrees that informational messages necessary for the fulfillment of the order would be sent to the email address and telephone number specified by the Buyer.

2.5. By registering in the online store and ordering goods, the Buyer undertakes to keep and not disclose login data to anyone.

 

Buyer's Rights and Obligations

3.1. The Buyer has the right to purchase goods in the online store according to the procedure established in these Terms and other sections of the information provided by this online store.

3.2. The Buyer has the right to withdraw from the purchase and sale agreement with the Topcarmats online store by notifying the Seller in writing (by email, indicating the desired return of the goods and its order number) no later than 14 (fourteen) working days from the day of delivery of the item.

3.3. The right provided for in clause 3.2. of the Terms may be exercised by the Buyer only if the goods were not damaged or significantly altered in appearance, and if they were not used.

3.4. The Buyer undertakes to accept the ordered goods and pay the agreed price for them.

3.5. If there is a change in the data provided in the Buyer's registration form, the Buyer must update them immediately.

3.6. The Buyer undertakes not to transfer their login data to third parties. If the Buyer loses their login data, they must immediately inform the Seller through the contact details provided in the Seller's section.

3.7. By using the online store, the Buyer agrees to these Terms of purchase and sale and undertakes to comply with them and not to violate the laws of the European Union and the Republic of Lithuania.

 

Seller's Rights and Obligations

4.1. The Seller undertakes to create all the conditions for the Buyer to properly use the services provided by the online store.

4.2. If the Buyer attempts to harm the stability and security of the Seller's online store or violates their obligations, the Seller has the right to immediately and without warning restrict or suspend the Buyer's ability to use the online store or, in exceptional cases, cancel the Buyer's registration.

4.3. The Seller undertakes to respect the Buyer's right to privacy regarding the Buyer's personal information provided in the online store registration form.

4.4. The Seller undertakes to deliver the goods ordered by the Buyer to the address specified by the Buyer.

 

Ordering Goods, Prices, Payment Procedure, Terms

5.1. The Buyer can purchase goods in the online store 24 hours a day, 7 days a week.

5.2. The contract comes into force from the moment the Buyer clicks the "Confirm Order" button, and upon receipt of the order, the Seller confirms it by sending a confirmation email to the Buyer's email address.

5.3. The prices of goods in the online store and in the formed order are indicated in euros, including VAT.

5.4. The Buyer pays for the goods in one of the following ways:

5.4.1. Payment via online banking - this is a prepayment via the electronic banking system used by the Buyer. The Buyer transfers the money to the Seller's Topcarmats online store settlement bank account. The responsibility for data security lies with the bank, as all transactions take place in the bank's electronic banking system.

5.4.2. Payment by bank transfer – this is a prepayment when the Buyer pays for the goods in advance by bank transfer from their bank account.

5.4.3. The Buyer can pay for the goods in cash or by bank card upon delivery to the courier (only in the territory of Lithuania).

5.4.4. The Buyer can pay for the goods with a VISA or MASTERCARD bank payment card from any country.

5.4.5. The Buyer can pay for the goods using the Paypal system.

 

Delivery of Goods

6.1. When placing an order, the Buyer selecting the goods delivery service undertakes to specify the exact delivery location of the goods.

6.2. The Buyer undertakes to accept the goods themselves. In cases where the Buyer cannot accept the goods themselves, and the goods are delivered to the address indicated, the Buyer has no right to make claims to the Seller regarding the delivery of the goods to the wrong recipient.

6.3. The goods are delivered by the Seller or the Seller's authorized representative (courier).

6.4. The Seller delivers the goods to the Buyer based on the terms specified in the product descriptions. These terms are preliminary and do not apply in cases where the Seller does not have the necessary goods in stock, and the Buyer is informed of the shortage of the ordered goods. At the same time, the Buyer agrees that in exceptional cases, the delivery of goods may be delayed due to unforeseen circumstances beyond the Seller's control. In such cases, the Seller undertakes to immediately contact the Buyer and agree on the conditions for the delivery of goods.

6.5. In all cases, the Seller is released from liability for the violation of the delivery terms of the goods if the goods are not delivered to the Buyer or are not delivered on time due to the fault of the Buyer or due to circumstances beyond the Seller's control.

6.6. In any case, the Buyer must immediately inform the Seller if the shipment is delivered in damaged or otherwise compromised packaging, if unordered items are included in the shipment, or if the quantity of the goods is incorrect or the goods are incomplete. Upon receiving the goods or upon delivery to the courier, the Buyer must inspect for any factory or other transport-related damages. If any damages are noticed, the Buyer must inform the Seller in writing within the shortest possible time, but not later than 24 hours from the receipt of the goods.

6.7. In all cases, during delivery, if the Buyer notices damages to the packaging, they must note the observations on the delivery document provided by the courier or prepare a separate report on these damages. The Buyer must do this in the presence of the courier. Failure to take such actions releases the Seller from liability to the Buyer for damages to the goods related to damages to the packaging not noted by the Buyer in the courier's delivery document.

 

Quality of Goods, Guarantees

7.1. The data of the goods sold by Top Car Mats is generally indicated next to each item in the product description.

7.2. The Seller is not responsible if the goods in the online store, in terms of color, shape, or other parameters, do not match the actual size, shapes, and colors of the goods due to the characteristics of the Buyer's display.

7.3. The Seller provides a certain period of validity for the quality guarantee, the specific term and other conditions of which are specified in the descriptions of such goods.

7.4. In the absence of a quality guarantee provided by the Seller, the guarantee provided by the relevant laws applies.

 

Buyer's and Seller's Liability

8.1. The Buyer is fully responsible for the accuracy of the personal data provided by the Buyer. If the Buyer does not provide accurate personal data in the registration form, the Seller is not responsible for the consequences thereof and has the right to demand compensation from the Buyer for the direct losses incurred.

8.2. The Buyer is responsible for actions taken using the Topcarmats online store.

8.3. Once registered, the Buyer is responsible for passing on their login data to third parties. If a third party uses the services of the online store by logging in using the Buyer's login data, the Seller considers this person to be the Buyer.

8.4. The Seller is released from any liability in cases where losses occur due to the Buyer's failure to familiarize themselves with these Terms despite being given the opportunity to do so, and disregarding the Seller's recommendations and the Buyer's obligations.

8.5. If there are links to other companies, institutions, organizations, or individuals' websites in the Seller's online store Topcarmats, the Seller is not responsible for the information or activities found there, does not maintain those websites, does not control them, and does not represent those companies and individuals.

8.6. In case of loss, the culpable Party compensates the other Party for direct losses.

 

Marketing and Information

9.1. The Seller may initiate various promotions in the Topcarmats online store at their discretion.

9.2. The Seller has the right unilaterally, without prior notice, to change the terms of promotions and also to cancel them. Any changes or cancellations of promotion terms and conditions apply prospectively, i.e., from the moment of their implementation.

9.3. The Seller sends all messages to the communication means specified in the Buyer's registration form.

9.4. The Buyer sends all messages and inquiries to the Seller's online store section "Contacts" using the telephone numbers and email addresses specified there.

9.5. The Seller is not responsible if the Buyer does not receive informational or confirming messages due to internet connection issues, disruptions in email services providers' networks, or incorrectly provided Buyer email addresses.

 

Final Provisions

10.1. These terms and conditions of purchase and sale are drawn up in accordance with the laws and regulations of the Republic of Lithuania.

10.2. All disputes arising from the implementation of these Terms are resolved through negotiations. In case of failure to reach an agreement, disputes are resolved in accordance with the laws of the Republic of Lithuania.
